GreenBox POS, LLC acquired ASAP Expo Inc. from Frank Yuan, Vicky PMW Yuan and others in a reverse merger that closed on April 12, 2018. Under a March 23, 2018 share purchase agreement the Yuans sold approximately 144.5 million shares representing about 90% of ASAP Expo. ASAP Expo filed Articles of Amendment on May 3, 2018 to change its name to GreenBox Pos LLC and requested a ticker change to "GBOX." Frank Yuan accepted his resignation as sole officer and director, Ben Errez was elected chairman and director, and Fredi Nisan was elected vice chairman and director. For accounting purposes, GreenBox POS was designated the accounting acquirer as of April 8, 2020.
